Welcome to Checkpoint Talk. These Terms of Service ("Terms") govern your access to and use of the checkpointtalk.com website and all related services (collectively, the "Service"). The Checkpoint Talk name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Checkpoint Talk or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on checkpointtalk.com are the trademarks of their respective owners.

6. User Content and License Grant

Checkpoint Talk may allow you to post, upload, publish, submit, or transmit content, including but not limited to text, photographs, videos, and other materials ("User Content"). You retain all ownership rights in your User Content. However, by posting User Content on or through the Service, you grant Checkpoint Talk a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business operations.

You represent and warrant that: (a) you own or have the necessary rights to post your User Content; (b) your User Content does not violate the privacy rights, publicity rights, intellectual property rights, or any other rights of any person or entity; and (c) posting your User Content on or through the Service does not require the consent of any third party.

CHECKPOINT TALK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Checkpoint Talk does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components. We do not warrant or make any representations regarding the use or the results of the use of the Service in terms of accuracy, reliability, or otherwise.

You acknowledge that checkpointtalk.com may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites or resources.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHECKPOINT TALK, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL CHECKPOINT TALK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO CHECKPOINT TALK, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless Checkpoint Talk, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

10. Termination

Checkpoint Talk may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Checkpoint Talk is headquartered, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the applicable jurisdiction, and the parties hereby consent to personal jurisdiction and venue therein.

You and Checkpoint Talk agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both you and Checkpoint Talk waive any right to a jury trial.

12. Changes to Terms of Service

Checkpoint Talk reserves the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by posting the updated Terms on checkpointtalk.com and updating the "Last Updated" date at the top of these Terms. We may also provide additional notice, such as by email or through a notification on the Service.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service. We encourage you to review these Terms periodically to stay informed of any updates.

13. Miscellaneous

These Terms constitute the entire agreement between you and Checkpoint Talk regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Checkpoint Talk may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
